Notice regarding the filling of the post of Chief Executive Officer

The vacancy in CDS and Clearing Limited (CDSC) has to be filled through open competition as per the Central Depository Service of Securities Regulations, 2067. This information has been published in the office, Putalisadak, Kathmandu for the information of all concerned for formal submission of application.

1. Post: Chief Executive Officer

2. Required minimum educational qualifications, experience, age, and other criteria:

Eligible Nepali citizens who have reached the following educational qualifications, experience, age, and other criteria can apply for the post of Chief Executive Officer of CDSC on the basis of the provisions mentioned in the Central Depository Service Rules, 2067.

2.1 Minimum Educational Qualification Experience: Capital Market or Industry or Commerce or Finance or Accounting or Law or at least Master's degree in Economics, Commerce, Finance, Accounting, Management or Commercial Law from a recognized educational institution. At least five years of experience in one or more of the management fields. Candidates with knowledge of information technology will be accepted.

2.2 Age: The age of the applicant should be 35 years and not exceeding 60 years by the date of application.

2.3 Other criteria:

According to Rule 19 of the Central Depository Service Rules, 2067 and the prevailing law, a person with the following disqualification cannot be the Chief Executive Officer:

(A) multiplication or mental imbalance,

(B) If convicted of a criminal offense of moral turpitude, less than five years from the date of payment of the sentence, if convicted of corruption or fraud by the court, less than five years from the date of payment of the sentence, the company or organization headed by him or herself Loan In case of non-payment of damages, the operator or executive head of a company or organization has not completed five years of damages, has not filed tax in accordance with the prevailing law or has not submitted income statement for tax filing purposes.

(F) he or she is the operator or chief executive of the company or organization being blacklisted by the credit information center,

(G) To be the operator or executive head of an organization that has been expelled for not disclosing the audited financial statements for three consecutive years.

(I) A person working as an executive head in any company or organization shall not be allowed to act as the executive head of a central depository entrepreneur.

Term of office: The term of office of the Chief Executive Officer shall be 4 (four) years.

4. Remuneration and Benefits: The remuneration and benefits of the Chief Executive Officer shall be as prescribed by the Central Depository Service Rules, 2067 BS, and the Board of Directors of CDS and Clearing Limited (CDSC).

5. Application Form: The application form can be obtained by downloading from the CDSC website www.cdsc.com.np. The application form should be duly filled and the prescribed documents should be attached.

6. Documents and Details to be submitted along with the application: The applicant for the post of Chief Executive Officer of CDSC should submit the following documents and details and self-declaration while submitting the application:

6.1 Educational Qualification, Experience, Contact Address, Email, Telephone, and Mobile Number, Home and Working Office Name, Address, and Biodata with detailed personal details (Biodata) shall be prepared and signed by the applicant at the end of each page of the said statement.

6.2 The certificate of Nepali citizenship and the certificate of educational qualification and the copy of the document confirming the experience should be submitted by the applicant himself along with the application.

6.3 The applicant shall submit 4 (four) copies of the Institutional Business Action Plan (8P1655A1) in English or Nepali language prepared in Nepali or English language along with his application not exceeding 5000 (five thousand) words.

6.4 2 recent passport size photos.

6.5 Proof of tax filing up to the previous financial year.

6.6 Documents to prove that the credit information center has been blacklisted.

6.7 Copy of Permanent Account Number (PAN) Registration Certificate.

6.8 The following transaction should be attested by the applicant himself along with the application.

(A) Not a member of any political party.

(B) Working with or without agreement on any contract of the public body including CDSC.

(C) Letter of commitment to leave the post before the appointment if there is affiliation with the institutions and listed companies permitted by the Nepal Securities Board.

(D) no personal aliases remain in his name,

(E) Not having gone bankrupt or not being punished on the charge of dishonesty or forgery and not falling into bribery.

(F) Qualified in accordance with the prevailing law on securities.

7. Territorial conditions assigned to the Chief Executive Officer

The terms of reference of the Chief Executive Officer, the Securities Act, the directives issued by the Government of Nepal and the Board, and other directives and shall be as prescribed by the CDSC Board of Directors from time to time.

8. The business plan should be submitted

The applicant should prepare the Business Action Plan including the following topics:

8.1 Scenario of Securities Market and Central Depository Service

Analysis of the International Scenario on Capital Markets and Central Depository Services and the State of Nepal; An analysis of the overall financial condition of the CDSC, its historical background, its performance over the past years, and its financial statements; Identify the strengths and weaknesses of the Central Depository Service and the areas that need to be improved, legal, institutional and structural reforms to make the Central Depository Service clean, competitive and credible and to broaden its scope and scope; Concrete plans and programs to make the central depository service international; Role of Capital Market Investment, Investor, Business and Entrepreneur Risk Assessment, Transaction Fees, Clearance and Forwarding and Soma CDSC.

8.2 Institutional Business Plan

Identify issues that need to be addressed in areas such as institutional good governance, digitization, modernization, risk management, productivity enhancement, competitiveness enhancement, human resource management, financial management, administrative cost management, and resource mobilization; Based on the CDSC's strategic plan and the identification of areas for timely improvement in the central depository service, and institutional business action plan for the development, expansion, and improvement of the central depository service with a timeline.
